Terms of service

The terms governing use of the Poios platform by institutional administrators, academic staff, and other authorised users.

1. Acceptance

By registering an institution or creating a user account on Poios, you accept these Terms of Service. If you do not accept these terms, you must not use the platform. These terms operate alongside any institutional services agreement executed between Poios and your institution; the institutional agreement prevails to the extent of any inconsistency.

2. Authorised use

The platform is intended for use by authorised staff of registered higher education providers and registered training organisations. Access is granted via institutional registration and subsequent user invitation. Sharing of credentials is prohibited. Each user must use their own account.

3. Acceptable use

You agree not to:

  • circumvent platform security controls or attempt unauthorised access;
  • upload material that infringes copyright, contains malware, or breaches confidentiality obligations;
  • use the platform to harass, defame, or unlawfully target any person;
  • conduct automated extraction of platform data without prior written consent;
  • use platform output to make materially adverse decisions about students or staff without human review and institutional governance.

4. Institutional content

Your institution retains ownership of all institutional content uploaded to the platform. Poios is granted a limited, non-exclusive licence to host, process, and display that content for the purpose of operating the services for your institution. We do not use institutional content to train third-party AI models without explicit consent.

5. AI assistance and human oversight

Several Poios services use machine learning and large language model assistance. All AI-assisted output is provided as a draft for human review and authorisation. Poios does not autonomously grade, moderate, or make compliance determinations. Institutions are responsible for ensuring appropriate human review of any AI-assisted output before it is acted upon.

6. Service availability

Poios targets a service availability of 99.5% measured monthly, excluding scheduled maintenance windows announced at least 48 hours in advance. Scheduled maintenance is ordinarily conducted outside Australian business hours.

7. Suspension and termination

We may suspend or terminate access where there is reasonable evidence of breach of these terms, where required by law, or where institutional services have ceased. Where reasonable, suspension is preceded by notice and an opportunity to remedy. Termination does not extinguish accrued payment obligations.

8. Liability

To the extent permitted by law, Poios's total aggregate liability arising from or in connection with the platform is limited to the fees paid by the institution for the services in the 12 months preceding the event giving rise to liability. Nothing in these terms excludes or limits liability that cannot be lawfully excluded under Australian law, including under the Australian Consumer Law.

9. Governing law

These terms are governed by the laws of New South Wales, Australia. Disputes are subject to the non-exclusive jurisdiction of the courts of New South Wales.
